Terms of Service

Please read these terms carefully before using Deskmantle.

1. Acceptance of Terms

By accessing or using Deskmantle ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you ("User", "you") and Deskmantle, operated by Kurt Navale ("Company", "we", "us"). We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or in-app notice. Continued use after the effective date constitutes acceptance of the updated Terms.

2. Description of Service

Deskmantle is an AI-powered all-in-one business management platform that provides CRM, email management, calendar scheduling, invoicing, AI outreach, social media management, voice assistant, automation workflows, analytics, and related services. The Service includes AI features powered by Google Gemini that may generate content, take autonomous actions, and make recommendations on your behalf based on your settings and preferences. The Service is designed for business use and is not intended for consumers under the age of 16.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for: • Maintaining the security of your account credentials • All activities that occur under your account • Notifying us immediately of any unauthorized access at security@deskmantle.com You must be at least 16 years old to use the Service. By creating an account, you represent that you are at least 16 years of age. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Subscription and Billing

Deskmantle offers the following subscription plans: • Solo: $49/month (or $39/month billed annually) • Operator: $149/month (or $119/month billed annually) • Executive: $399/month (or $319/month billed annually) • Enterprise: Custom pricing All plans include a 7-day free trial. No credit card is required to start a trial. Subscriptions automatically renew at the end of each billing period unless cancelled. Payments are processed by Whop. By subscribing, you authorize recurring charges to your payment method. Prices are in USD and exclude applicable taxes. We reserve the right to change pricing with 30 days' notice. Price changes do not affect your current billing period.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access until that date. 14-Day Money-Back Guarantee: New paying customers may request a full refund within 14 days of their first paid charge, no questions asked. Refunds are governed by our Refund Policy, available at deskmantle.com/refund. In summary: • 14-day money-back guarantee for new customers • Annual renewals refundable within 7 days if no substantial use • Usage-based charges and third-party costs are non-refundable

6. Data Ownership

Your Data: You retain all ownership rights to the data you input, upload, or generate through the Service ("User Data"). This includes CRM records, communications, documents, and any other content you create or store. We do not claim ownership of your User Data. License to Process: You grant us a limited, non-exclusive, revocable license to process, store, and transmit your User Data solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your data or close your account. No Training Use: We do not use your User Data to train, fine-tune, or improve AI models. Your data is processed only to deliver the Service to you. Data Export: You may export your data at any time in a machine-readable format (JSON/CSV) from your account settings. Upon account termination, you have 30 days to export your data before it is permanently deleted. Our Property: The Service, including all software, designs, algorithms, documentation, and branding, is owned by Deskmantle and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service. Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, perpetual license to use that feedback to improve the Service without compensation.

7. Acceptable Use

You agree not to use the Service to: • Violate any applicable law or regulation • Send spam, unsolicited messages, or bulk communications without recipient consent • Harass, abuse, threaten, or intimidate any person • Impersonate any person or entity • Upload malicious code, viruses, or harmful content • Attempt to gain unauthorized access to the Service or other users' accounts • Scrape, crawl, or use automated means to access the Service beyond the provided APIs • Use the Service to build a competing product • Exceed reasonable usage limits or abuse AI features in a way that degrades service for others • Store, process, or transmit any data that violates third-party intellectual property rights • Use the Service to process data of children under 16 • Circumvent any security measures or access controls We reserve the right to suspend or terminate accounts that violate these terms without prior notice. Repeated or severe violations may result in permanent termination.

8. AI Features — Disclaimers and Limitations

The Service includes AI-powered features that may: • Generate content (emails, social posts, proposals, reports) based on your instructions • Take autonomous actions (send follow-ups, update CRM records, book meetings) based on your configured preferences and automation rules • Make recommendations and predictions based on your data • Provide business insights, summaries, and analysis IMPORTANT — You acknowledge and agree that: AI Output Is Not Guaranteed: AI-generated content may contain errors, inaccuracies, omissions, or inappropriate material. Deskmantle makes NO WARRANTY regarding the accuracy, completeness, reliability, or suitability of any AI-generated output. You are solely responsible for reviewing and verifying AI-generated content before use. No Professional Advice: AI-generated outputs do not constitute legal, financial, medical, or other professional advice. You should consult qualified professionals for decisions requiring specialized expertise. Your Responsibility: You are responsible for reviewing and approving autonomous actions where configured to require approval. You are liable for any AI-initiated actions you have enabled and configured. Third-Party Models: AI features are powered by third-party models (Google Gemini). Their availability depends on third-party service continuity, and we are not responsible for changes to or discontinuation of third-party AI services. No Liability for AI Actions: We are not liable for any loss, damage, or harm arising from actions taken by AI features that you have enabled and configured, or from reliance on AI-generated content.

9. Third-Party Integrations

The Service integrates with third-party services including Google (Gmail, Calendar), Twilio, Slack, Notion, Zoom, Facebook, and others. Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. You connect third-party accounts at your own risk.

10. Service Availability

We strive to maintain high uptime but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to: • Planned maintenance (we will provide advance notice when possible) • Unplanned outages or technical issues • Force majeure events (natural disasters, pandemics, government actions) • Third-party service disruptions (Google Cloud, Twilio, etc.) We are not liable for any damages resulting from service interruptions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill • Our total aggregate liability for any and all claims arising from or related to the Service shall not exceed the total amount you paid us in the 12 months immediately preceding the event giving rise to the claim • We are not liable for damages arising from: (a) your use of or reliance on AI-generated content, (b) actions taken by AI features you have enabled, (c) third-party service failures, or (d) unauthorized access to your account caused by your failure to maintain credential security These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Deskmantle and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any third party's rights • Content you upload, store, or transmit through the Service • Your use of AI-generated content in ways that cause harm to third parties

13. Account Termination

Termination by You: You may close your account at any time from your account settings. Upon closure, your subscription will not renew, and you retain access until the end of the current billing period. Termination by Us: We may suspend or terminate your account if: • You violate these Terms or the Acceptable Use Policy • You fail to pay subscription fees after reasonable notice • Your use of the Service poses a risk to other users or our infrastructure • We are required to do so by law • We discontinue the Service (with at least 90 days' notice) Effect of Termination: Upon termination, your right to use the Service ceases immediately. You may request a data export within 30 days of termination. After 30 days, your data will be permanently deleted in accordance with our Privacy Policy.

14. Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines. Informal Resolution: Any dispute arising from these Terms shall first be resolved through good-faith negotiation by contacting legal@deskmantle.com. We will make reasonable efforts to resolve the dispute within 30 days. Arbitration: If the dispute is not resolved informally within 30 days, it shall be submitted to binding arbitration in Metro Manila, Philippines, in accordance with the rules of the Philippine Dispute Resolution Center. Individual Basis: You agree to resolve disputes on an individual basis. You waive any right to participate in class actions, class arbitrations, or representative proceedings. Exception: Either party may seek injunctive relief in any court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Service.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, Data Processing Agreement, and Refund Policy, constitute the entire agreement between you and Deskmantle. Severability: If any provision is found unenforceable, the remaining provisions continue in full force and effect. Waiver: Our failure to enforce any provision does not constitute a waiver of future enforcement. Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any successor entity. Force Majeure: Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, government actions, or internet disruptions. Notices: We will send notices to the email address associated with your account. You are responsible for keeping your email address up to date.
